Terms of Service

Rules for using the Jadad Charitywebsite—aligned with Uganda's Constitution, electronic transactions and computer-use laws, data protection, and NGO good practice.

1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of the website operated by Jadad Charity Foundation (“Jadad”, “we”, “us”, or “our”), including https://jadadcharity.org and any related development or staging sites we operate (collectively, the “Site”).

By accessing or using the Site, submitting forms, requesting materials, or otherwise interacting with our online services, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms are intended for users of our public website and related online facilities. They do not replace separate written agreements we may enter into with partners, donors, vendors, or programme participants.

3. Who we are

Jadad Charity Foundation is a community-focused charitable organisation working to restore dignity and opportunity through education, healthcare support, livelihoods and food security, and emergency relief, primarily in Uganda (including Mbale and surrounding communities).

The Site is provided for information, engagement, partnership inquiries, donation inquiries, and authorised access to certain organisational materials—not as a commercial marketplace unless we clearly state otherwise.

4. Eligibility and acceptable use

You may use the Site if you can form a binding agreement under applicable law and if your use complies with these Terms and Ugandan law. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation.

You agree to use the Site only for lawful purposes and in a manner consistent with respect for others’ rights, dignity, and privacy.

  • Do not attempt to gain unauthorised access to the Site, servers, databases, accounts, or proposal documents;
  • Do not interfere with, disrupt, overload, or compromise the Site or related systems (including malware, scraping that harms service, denial-of-service attacks, or similar conduct);
  • Do not use the Site to transmit unlawful, defamatory, hateful, fraudulent, harassing, or exploitative content;
  • Do not impersonate Jadad, our staff, partners, or any other person;
  • Do not harvest personal data from the Site for spam, scams, or unauthorised marketing;
  • Do not use the Site in ways that endanger children or vulnerable persons, or that facilitate exploitation;
  • Comply with the Computer Misuse Act and other laws governing electronic systems and communications.

5. Electronic communications and records

When you use the Site or contact us electronically (forms, email, WhatsApp, or similar), you consent to receive communications from us electronically where reasonably necessary to respond to your request or operate the Site.

Under the Electronic Transactions Act, 2011, electronic messages and records may have legal effect. You agree that notices, responses, and records we send or store electronically may satisfy requirements for written communication where permitted by law.

You are responsible for ensuring that contact details you provide are accurate and that you monitor the channels you choose for replies (including spam folders).

6. Forms, inquiries, and proposal access

The Site may offer contact forms, donation inquiry forms, and request forms for access to confidential strategic materials.

  • Information you submit must be true, accurate, and not misleading to the best of your knowledge;
  • Submitting a form does not create a partnership, employment, grant, or funding commitment;
  • Donation inquiries do not complete a payment on this Site. Online card checkout is not currently active; we may reply with bank, mobile-money, or other giving instructions;
  • Strategic proposal access is discretionary, view-only, and may be approved, denied, time-limited, or revoked. Access tokens are personal and must not be shared publicly;
  • We may refuse, suspend, or terminate access to any feature if we reasonably believe these Terms or the law have been violated, or if required for security or safeguarding.

7. Donations and financial communications

Any gift is voluntary. Descriptions of programmes, impact figures, and gift examples are illustrative and may change as needs and costs change.

When you complete a transfer through a bank or mobile-money provider, that provider’s terms apply to the payment process. We are not responsible for delays, fees, or errors of third-party payment systems.

We aim to use donations for charitable purposes consistent with our mission and applicable NGO and fiduciary duties. Restricted gifts will be honoured where accepted and practicable; where a restriction cannot be met, we will communicate with you where reasonably possible.

Nothing on the Site constitutes financial, tax, or legal advice. Donors should seek independent advice on tax treatment of gifts under Ugandan or other applicable law.

8. Site content and intellectual property

Unless otherwise stated, the Site’s text, branding, logos, layout, photographs, graphics, and other materials are owned by Jadad or used under licence. All rights reserved.

You may view and temporarily download materials for personal, non-commercial use related to learning about or supporting our work, provided you do not remove notices or misrepresent the source.

You may not copy, modify, distribute, publicly display, or create derivative works from Site content for commercial purposes without our prior written permission, except as allowed by law (including fair dealing or similar exceptions where applicable).

Programme photographs and beneficiary stories are used with care for dignity and safeguarding. Reuse that could harm beneficiaries is prohibited.

9. Your content and feedback

If you send us messages, testimonials, images, or other materials (“User Content”), you confirm that you have the right to share them and that they do not infringe others’ rights or the law.

You grant us a non-exclusive, worldwide, royalty-free licence to use User Content as reasonably needed to respond to you, operate the Site, and—only where appropriate and with any required consent—communicate about our work. We are not obliged to publish unsolicited submissions.

10. Privacy and data protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of how we operate the Site. By using the Site, you acknowledge that Policy.

We process personal data in line with the Data Protection and Privacy Act, 2019, constitutional privacy principles, and NGO safeguarding standards. For privacy requests, contact us using the details in the Privacy Policy or Section 18 below.

11. Information accuracy and no professional advice

We aim to keep Site information accurate and up to date, but content may contain errors or omissions, or become outdated. Programme statistics, budgets, and plans may be revised.

Site content is for general information only. It is not legal, medical, investment, or professional advice. For decisions that affect legal rights, health, or finances, seek qualified professional advice.

12. Third-party services and links

The Site may link to third-party websites or services (for example social media, hosting, email delivery, or maps). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

13. Availability and changes to the Site

We strive to keep the Site available but do not guarantee uninterrupted, error-free, or secure access. We may suspend, modify, or discontinue any part of the Site for maintenance, security, legal, or operational reasons without liability where permitted by law.

14. Disclaimers

To the fullest extent permitted by Ugandan law, the Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied—including merchantability, fitness for a particular purpose, or non-infringement—except where such warranties cannot be excluded by law.

We do not warrant that the Site will be free of viruses or harmful components; you are responsible for using appropriate security software on your devices.

15. Limitation of liability

To the fullest extent permitted by law, Jadad Charity Foundation and its officers, employees, volunteers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or opportunity, arising from your use of or inability to use the Site.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under Ugandan law.

Where liability cannot be excluded, our total liability related to the Site shall be limited to the greater of (a) the amount you donated through arrangements concluded via the Site in the three months preceding the claim (if any), or (b) Uganda Shillings one hundred thousand (UGX 100,000), except where a higher minimum is required by mandatory law.

16. Indemnity

You agree to indemnify and hold harmless Jadad and its officers, employees, volunteers, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site, your User Content, or your violation of these Terms or applicable law—except to the extent caused by our wilful misconduct or negligence where such indemnity would be unenforceable.

17. Suspension and termination

We may suspend or terminate your access to Site features (including proposal access) if you breach these Terms, create security or safeguarding risks, or if required by law. You may stop using the Site at any time. Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnity) will survive termination.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law rules that would apply another jurisdiction’s laws.

We encourage you to contact us first to resolve concerns amicably. Subject to mandatory consumer or other protections, disputes arising from these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Uganda, unless we agree in writing to mediation or arbitration.

19. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change when we publish revisions. Continued use of the Site after changes constitutes acceptance of the updated Terms, except where mandatory law requires additional notice or consent.

20. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any feature-specific notices, constitute the entire agreement between you and us regarding the Site, superseding prior online terms for the same subject matter.

Section headings are for convenience only. References to legislation include amendments and successor laws.
